Terams
and conditions

These Terms govern your use of this website and set the core rules for working with us. By using the website or engaging us, you accept them.

1

1. Who we are

This website is operated by BECKFORGE LTD ("BeckForge", "we", "us"), a private limited company registered in England and Wales under company number 17509832, with its registered office at 23-27 Maidenhead Street, Hertford, SG14 1DW, United Kingdom. Email: partner@beckforge.co.

2

2. How these Terms apply

These Terms apply to every visitor to this website and to every business that requests or receives our services. Our services are always provided under separate written terms agreed with each client. If there is a conflict, those agreed terms prevail over these Terms, except that section 10 and our AML Policy always apply. Our AML Policy forms part of these Terms. Our Privacy Policy explains how we handle personal data. If you accept these Terms for a company, you confirm you are authorised to bind it.

3

3. Using this website

You must be at least 18 and use this website for lawful business purposes. You must not:

  • attempt to gain unauthorised access to the website or its systems, or interfere with its security;
  • introduce malware or disrupt the website's operation;
  • scrape, harvest or systematically extract content or data;
  • submit false, misleading or third-party information through our forms; or
  • copy or reuse our content, design, name or trademarks.

We may restrict access to the website at any time to protect it.

4

4. Website content

Website content is general information about BeckForge and how we work. It is not an offer, a quotation or a warranty. Descriptions of our approach and standards describe our aims, not guaranteed results, and portfolio examples do not predict results for other projects. Nothing on the website is legal, financial, tax or compliance advice.

5

5. Our services

We provide software engineering services to businesses only, never to consumers. Each project's scope, deliverables, fees, timeline, acceptance criteria and any warranties are agreed in writing for each project. Proposals and estimates are not binding until signed, and are valid for 30 days. Changes require a written change request approved by both parties. Our performance depends on timely client cooperation, access and materials, and on third-party services we do not control.

6

6. Our role in payments, AI and regulated data

We are a technology provider. We are not a bank, payment institution, e-money institution or money transmitter, we are not authorised or registered by the Financial Conduct Authority, and we never receive, hold or move our clients' or their customers' funds. When we build payment platforms, each client holds its own provider agreements and is responsible for its own licences and for its compliance with payment, anti-money laundering, sanctions, consumer and data protection rules. AI features produce outputs that can be wrong, and clients decide how to use them. Clients must not share health, payment card, biometric or other sensitive data with us unless a signed agreement covers it.

7

7. Fees and payment

Fees, invoicing and payment terms are governed by the relevant agreements with each client.

8

8. Our role in payments, AI and regulated data

BeckForge owns all intellectual property in this website and in everything we create, including source code, designs, documentation, AI configurations, our pre-existing tools and all improvements to them, unless our director expressly agrees in writing to assign specific deliverables to the client. After full payment, the client receives a non-exclusive, non-transferable licence to use, modify and maintain its deliverables for its own business. The client may not resell, white-label or sublicense them, or use them to build a competing product. Clients keep ownership of th eir own materials and data. Where this website says that clients "own" or "run" what we build, it refers to their right to use and operate it under this licence, not to ownership of intellectual property.

9

9. Confidentiality

Each party keeps the other's confidential information private and uses it only for the project, unless disclosure is required or permitted by law, including any report described in our AML Policy. A signed non-disclosure agreement prevails over this section.

10

10. Compliance

Before we sign an agreement, start work or accept any payment, we verify each client's identity, ownership and business. Clients confirm that they, their owners and managers are not subject to sanctions, that their funds are lawful, and that they will not use our work for any unlawful purpose. We comply with UK and other applicable sanctions and export controls, and we may decline, suspend or end any engagement, or return any payment, where checks are incomplete or continuing would break the law or our AML Policy.

11

11. Confidentiality

Warranties. We perform our services with reasonable skill and care. That is our only commitment about the quality of our services, unless we expressly agree a further warranty in writing. This website, its content and any deliverables are otherwise provided "as is" and "as available". To the fullest extent the law allows, all other warranties, conditions and terms, whether express or implied by statute, common law or otherwise, are excluded, including any as to satisfactory quality, fitness for a particular purpose, accuracy, non-infringement, uninterrupted or error-free operation, security, AI output accuracy, fraud detection or achievement of any business, financial or regulatory result.

Exclusions. To the fullest extent the law allows, BeckForge is not liable, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for:

  • any indirect, special or consequential loss;
  • loss of profit, revenue, business, contracts, goodwill, reputation or anticipated savings;
  • loss or corruption of data, or business interruption;
  • fines, penalties, chargebacks, reserves or other sums imposed on a client by regulators, card networks, banks or payment providers;
  • fraudulent or unauthorised transactions processed through software we built;
  • decisions made using AI outputs, reports or analytics we provide;
  • failures of third-party services, components, providers or infrastructure, or of client systems, materials or instructions;
  • modifications or use of deliverables by anyone other than BeckForge, or use contrary to our documentation; or
  • any loss caused by a client's breach of these Terms, its agreement or the law.

Cap. BeckForge's total aggregate liability for all claims arising out of or in connection with an engagement is limited as set out in the relevant agreement with each client.

Time limit. Any claim against BeckForge must be notified to us in writing, with reasonable details, within 12 months of the event giving rise to it. Otherwise it is waived.

Reasonableness. The client acknowledges that these exclusions and limits are reasonable, reflect the allocation of risk on which our fees are based, and that it can obtain insurance against these risks.

What we do not limit. Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law. The client's liability to pay fees, its indemnity in section 12 and its liability for infringing our intellectual property are not limited.

12

12. Indemnity

The client is responsible for, and will compensate us for, claims arising from its materials, its business and use of the deliverables, its breach of these Terms or its agreement, and its breach of law, including payment, anti-money laundering, sanctions and data protection law.

13

13. Termination

Termination of an engagement, including notice periods and payment for work done, is governed by the relevant agreement with each client. We may also suspend or end an engagement as set out in section 10.

14

14. Force majeure

Neither party is liable for any delay or failure to perform its obligations, other than payment obligations, caused by events beyond its reasonable control. These include natural disasters, war, hostilities, terrorism, civil unrest, sanctions or other government action, epidemics, cyberattacks not caused by the affected party's negligence, and failures of power, internet or third-party infrastructure. The affected party will notify the other promptly and resume performance as soon as reasonably possible.
